TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern the supply of goods and services by UNIQUEVIBES.CO LTD (“Company”, “we”, “us”, “our”) to any customer (“you”, “your”).
By placing an order with us, you agree to be legally bound by these Terms.

2. Contract Formation
2.1 A binding contract is formed only when we issue written confirmation accepting your order. 2.2 We reserve the right to refuse or cancel any order at our discretion.
2.3 Any quotation provided is valid for 7 days unless otherwise stated.
2.4 Orders may not be cancelled once production has commenced.
3. Product Description & Variations
3.1 All product images are for illustrative purposes only.
3.2 Due to screen calibration differences, manufacturing tolerances and supplier batch variations:
● Colours may vary slightly from digital proofs.
● Garment shades may vary between batches.
● Minor size variations may occur.
Such variations shall not constitute defects.
4. Customisation, Embroidery & Printing
4.1 Artwork Approval
4.1.1 Production will not begin until artwork is approved in writing (including email approval). 4.1.2 Approval confirms acceptance of spelling, design, colour, sizing and positioning. 4.1.3 Once approved, no amendments or cancellations are permitted.
4.2 Intellectual Property Warranty
You warrant that:
● You own or have full authority to use all artwork submitted.
● The artwork does not infringe any copyright, trademark, or intellectual property rights.
You agree to indemnify and hold us harmless against all claims, costs, damages and legal expenses arising from any intellectual property infringement claim relating to your artwork.
4.3 Prohibited Content
We reserve the right to refuse artwork that:
● Is unlawful, defamatory, discriminatory or hateful
● Promotes violence, extremism or illegal activity
● Contains explicit sexual content
● Infringes third-party rights
Our decision in this regard is final.
4.4 Production Tolerances
Due to the nature of embroidery and garment printing:
● Design placement may vary within an industry tolerance of ±20mm. ● Thread colours are matched as closely as commercially possible but exact Pantone matches are not guaranteed.
● Print finish may vary depending on garment material.
● Minor embroidery puckering may occur on lightweight fabrics.
These are considered acceptable production tolerances and are not defects.
4.5 Production Method
We reserve full discretion to determine the most appropriate production method, including but not limited to:
● Embroidery
● Screen printing
● DTG
● DTF
● Vinyl transfer
Customers shall have no right to reject goods based solely on production method.
4.6 Customer-Supplied Garments
4.6.1 We accept no liability for damage to garments supplied by customers. 4.6.2 We do not guarantee print or embroidery results on third-party garments. 4.6.3 Dye migration, shrinkage or fabric defects are outside our control.
5. Order Quantities & Tolerances
For bulk orders, we reserve the right to supply a quantity variance of ±5%. You will be charged only for the actual quantity supplied.
6. Pricing & Payment
6.1 Prices exclude VAT unless stated otherwise.
6.2 Payment is required in full prior to production unless agreed in writing. 6.3 Business customers must pay invoices within agreed terms.
6.4 Late payments may incur interest at 4% above Barclays base rate.
6.5 We reserve the right to suspend work for overdue accounts.
7. Delivery & Risk
7.1 Delivery dates are estimates only and not guaranteed unless expressly agreed in writing. 7.2 We are not liable for delays caused by events outside our reasonable control. 7.3 Risk passes to you upon delivery.
7.4 Title to goods remains with us until full payment is received.
7.5 International customers are responsible for all customs duties and import taxes.
8. Cancellations & Returns
8.1 Personalised Goods
Customised, embroidered or printed items are non-refundable once production has commenced, except where faulty under statutory rights.
8.2 Non-Personalised Goods (Consumers Only)
Consumers may cancel within 14 days under the Consumer Contracts Regulations 2013, excluding personalised items.
Returned goods must be unused and in resalable condition.
9. Claims & Faults
9.1 Any claim for shortages, defects or incorrect goods must be made within 48 hours of delivery.
9.2 Photographic evidence may be required.
9.3 We reserve the right to inspect goods before issuing any remedy.
9.4 Remedies are limited to repair, replacement or refund at our discretion.
10. Limitation of Liability
10.1 Nothing in these Terms excludes liability for:
● Death or personal injury caused by negligence
● Fraud or fraudulent misrepresentation
● Statutory consumer rights
10.2 Subject to clause 10.1:
● We shall not be liable for loss of profit, loss of business, indirect or consequential loss. ● Our total liability shall not exceed the total price paid for the goods.
10.3 We shall not be liable for:
● Colour variations
● Placement tolerances
● Damage caused by incorrect garment care
● Garments supplied by customers
11. Storage & Abandoned Goods
We reserve the right to charge storage fees for completed goods not collected within 30 days. Goods uncollected after 60 days may be disposed of without refund.
12. Chargebacks & Fraud Prevention
By approving artwork and receiving goods, you confirm fulfilment of contract. Fraudulent chargebacks will be disputed with supporting documentation including:
● Artwork approvals
● Email correspondence
● Delivery confirmation
We reserve the right to pursue recovery of costs and legal fees.
13. Force Majeure
We shall not be liable for failure or delay caused by events beyond our reasonable control, including but not limited to:
● Supply chain disruption
● Machinery breakdown
● Acts of God
● Government restrictions
14. Governing Law & Jurisdiction
These Terms are governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction, except where consumer law provides otherwise.
